These Terms of Service (“Terms”) govern your use of the website operated by NY Softech (“we”, “us”, or “our”) and the digital marketing services we provide.

NY Softech provides digital marketing services including, but not limited to, Search Engine Optimisation (SEO), Google Ads management, Meta Ads, social media marketing, local SEO, and web design & development.

The exact scope of work, deliverables, timelines and fees for any paid engagement will be set out in a separate proposal, agreement or statement of work agreed between you and NY Softech.

You must be at least 18 years of age and capable of entering into a legally binding agreement to use our services. By using our website or services, you represent that you meet these requirements.

When we manage advertising accounts (Google Ads, Meta Ads, etc.) on your behalf, you retain full ownership of those accounts and the data within them at all times.

You agree to provide accurate and complete information and to keep your contact details up to date. You are responsible for maintaining the confidentiality of any login credentials you share with us.

Fees for our services are as agreed in writing (proposal, invoice or contract). Unless otherwise stated:

• Management fees are billed monthly in advance
• Ad spend is paid directly by you to the advertising platform (Google, Meta, etc.)
• Invoices are payable within the period stated on the invoice

We reserve the right to suspend services if invoices remain unpaid beyond the due date after reasonable notice.

Digital marketing results depend on many factors outside our control, including competition, platform algorithms, budget, website quality, and market conditions.

While we use proven strategies and best practices, we do not guarantee specific rankings, traffic volumes, lead numbers, or return on ad spend. Any examples of past performance are illustrative only and do not constitute a promise of future results.

You agree to:

• Provide timely access, information and approvals needed for us to perform the services
• Ensure that any materials you supply (content, images, logos, etc.) do not infringe third-party rights
• Comply with all applicable laws and the terms of the advertising platforms we use on your behalf
• Not use our services for any illegal, fraudulent or harmful purpose

All content on our website (text, graphics, logos, design, code) is owned by or licensed to NY Softech and is protected by copyright and other intellectual property laws.

Strategies, reports, creative assets and other work product we create for you during a paid engagement will be licensed or assigned to you as specified in the relevant agreement. Until full payment is received, we retain ownership of such work product.

We treat all non-public information you share with us as confidential and will not disclose it to third parties except as necessary to perform the services or as required by law. We can provide an NDA on request.

To the maximum extent permitted by applicable law, NY Softech shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunities arising out of or related to your use of our website or services.

Our total aggregate liability for any claims arising from a particular engagement shall not exceed the fees paid by you to us for that engagement in the three months preceding the claim.

Either party may terminate a services engagement in accordance with the notice period set out in the relevant agreement (or on reasonable written notice if none is specified).

Upon termination, you remain responsible for any fees incurred up to the effective termination date. We will cooperate in the orderly handover of accounts and data that belong to you.

You may use our website only for lawful purposes. You must not attempt to gain unauthorised access to any part of the site, interfere with its operation, or use it to transmit malware, spam or other harmful material.

We may update, suspend or discontinue any part of the website at any time without notice.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chandigarh, India.

We may update these Terms from time to time. The revised version will be posted on this page with an updated “Last updated” date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
